Terms of Use
Effective date: 1 January 2026. Last updated: 4 September 2026.
1. About these terms
These Terms of Use govern access to the DSM Advisory website and, where applicable, the secure client portal. By using this site you agree to these terms. If you do not agree, you must not use the site or attempt to access the portal.
Engagements for technical due diligence, vendor sourcing or post-merger integration are governed by a separate engagement letter and NDA, which prevail if they conflict with these terms.
2. Who may use this site
This website is intended for institutional B2B clients, private equity partners, and authorised vendor personnel. It is not directed at consumers and does not constitute an offer to the public. You confirm that you are using the site in a professional capacity.
3. No investment or legal advice
DSM Advisory provides technical due diligence and procurement proxy services. We do not provide retail investment advice, legal advice, tax advice, or regulated investment services. Nothing on this website is an invitation to invest, a valuation, or a recommendation to acquire or dispose of any security or network. Decisions remain solely with the client and its appointed advisers.
4. Client portal
Portal credentials are personal and non-transferable. You must keep access tokens and passwords confidential and connect only from approved networks or the client VPN. We may suspend or terminate access without notice where we detect unauthorised use, an unapproved IP address, credential sharing, or a security incident.
All portal access attempts are monitored and logged. Unauthorised access is strictly prohibited and may be reported to the client and, where appropriate, to law enforcement.
5. Acceptable use
You must not:
- probe, scan, or test the vulnerability of the site or portal except with our prior written authorisation;
- attempt to circumvent authentication, VPN, IP allow-lists, or encryption;
- upload malware or interfere with other users;
- scrape, harvest, or republish content except as permitted by law or contract;
- misrepresent your identity, employer, or authority to act.
6. Intellectual property
The site, its design, text, graphics and software are owned by DSM Advisory or its licensors. You may view and print pages for internal business use in connection with an enquiry or engagement. You may not copy, modify, or commercially exploit the site without prior written consent, other than as allowed by mandatory law.
7. Confidentiality
Due to the sensitive nature of active M&A transactions, information made available through the portal or in correspondence is confidential. You must treat it in accordance with any NDA and must not disclose it to any person who is not authorised by the relevant client.
8. Disclaimer and liability
The website is provided "as is" for general information about our practice. We do not warrant that it will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, DSM Advisory excludes liability for loss of profits, business, data, or any indirect or consequential loss arising from use of the website. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
Work product delivered under an engagement letter is subject to the liability cap and exclusions in that letter.
9. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive or equivalent relief in any jurisdiction to protect confidential information or intellectual property. Mandatory consumer rules do not apply because this site is not offered to consumers. If you access the site from the EEA, nothing in this clause affects rights that cannot be waived under the law of your member state.
10. Changes and contact
We may revise these terms by posting an updated version on this page. Continued use after the "Last updated" date constitutes acceptance. Questions: legal@dsmadvisory.com.
